1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", "you") and SoundVisionary Media ("Company", "we", "us", "our"), the owner and operator of onlineplayerauction.in ("Platform").

By accessing, registering on, or using the Platform in any capacity — whether as a league organizer, team owner, player, or visitor — you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety. If you do not agree to any part of these Terms, you must discontinue use of the Platform immediately.

Use of the Platform by any individual under the age of 18 must be supervised by and conducted under the responsibility of a parent or legal guardian who accepts these Terms on their behalf.

2. Definitions

For the purpose of these Terms, the following definitions shall apply:

Platform

the website onlineplayerauction.in, including all features, tools, dashboards, overlays, and services offered through it.

Client / Organizer

any individual or entity that registers on the Platform to set up, manage, or conduct an Auction Event.

Team Owner

any individual granted access to the Platform by an Organizer to participate in an Auction Event as a franchise or team representative.

Player

any individual registered on the Platform to participate in an Auction Event as a player available for bidding.

Auction Event

a live, real-time online player auction session set up and conducted through the Platform.

Service Fee

the amount paid by the Client to the Company for access to a chosen pricing plan.

User Content

any data, information, images, statistics, logos, or material submitted to the Platform by any User.

Account

the registered profile created by a User to access the Platform's features and services.

3. Platform Overview

onlineplayerauction.in is an online player auction platform designed to facilitate digital, real-time sports player auctions for cricket leagues, tournaments, and sporting events. The Platform provides tools including but not limited to player registration, live bidding, team owner dashboards, broadcast overlays, and auction management.

The Platform is a facilitation tool only. The Company does not organize, endorse, regulate, or take responsibility for any Auction Event, league, tournament, or sporting activity conducted through the Platform. All decisions related to the Auction Event, including player selection, team composition, bidding rules, and league governance, are the sole responsibility of the Organizer.

4. Account Registration & Security

4.1 To access the Platform's paid or configurable features, Users must register an Account by providing accurate, complete, and current information. Providing false, misleading, or fraudulent information during registration is a violation of these Terms and may result in immediate account termination.

4.2 The Client is solely responsible for maintaining the confidentiality of their Account credentials, including login details, passwords, and any unique auction access links generated by the Platform.

4.3 Any activity conducted through your Account — whether by you or by any third party who gains access through your credentials — is your sole responsibility. The Company will not be liable for any loss, dispute, or damage arising from unauthorized access resulting from the Client's failure to secure their credentials.

4.4 You agree to notify the Company immediately at support@onlineplayerauction.in if you become aware of any unauthorized use of your Account.

4.5 The Company reserves the right to suspend or terminate any Account that shows signs of unauthorized use, suspicious activity, or violation of these Terms, without prior notice.

5. Client Responsibilities

5.1 The Client is solely responsible for the accuracy, completeness, and legality of all User Content submitted to the Platform, including player names, statistics, photographs, team details, and budget information.

5.2 The Client is responsible for ensuring that all team owners, players, and participants invited to the Platform have consented to their personal information being shared and used within the Platform for the purpose of the Auction Event.

5.3 The Client is responsible for communicating the rules, format, and structure of the Auction Event to all participants. The Platform is a tool — it does not enforce or mediate league rules, disputes between participants, or internal league governance.

5.4 The Client agrees not to conduct any auction that involves illegal activity, gambling in violation of applicable law, betting, monetary exchange outside the Platform's intended purpose, or any activity that violates the laws of India.

5.5 The Client is responsible for ensuring a stable internet connection and compatible devices for themselves and their team owners during the Auction Event. Connectivity issues on the Client's or participants' end are not the responsibility of the Company.

5.6 The Client agrees to conduct the Auction Event in good faith and not to manipulate, rig, or interfere with the bidding process in any manner that disadvantages other participants.

6. Permitted Use

6.1 The Platform is licensed to you for lawful, non-commercial or commercial sports league use only, strictly in accordance with these Terms.

6.2 You may use the Platform to organize cricket and sports player auctions, register players, assign team owners, manage bidding, and broadcast auction overlays as intended by the Platform's design.

6.3 All use of the Platform must comply with applicable laws of India, including but not limited to the Information Technology Act 2000 and its amendments, and any applicable state or central regulations governing online platforms and digital services.

7. Prohibited Activities

The following activities are strictly prohibited on the Platform. Violation of any of these may result in immediate account suspension, permanent ban, and where applicable, legal action:

• Submitting false, fabricated, or misleading player statistics, profiles, or identities
• Impersonating any individual, team, league, or organization on the Platform
• Attempting to access, modify, or interfere with another User's Account or data
• Using automated bots, scripts, or tools to place bids or manipulate auction outcomes
• Attempting to reverse-engineer, decompile, copy, or replicate any part of the Platform
• Uploading or sharing content that is defamatory, obscene, hateful, or in violation of any third party's intellectual property rights
• Using the Platform to conduct any form of illegal gambling, betting, or wagering
• Sharing auction access links with individuals not authorized by the Organizer, resulting in bid manipulation or disruption
• Filing fraudulent refund claims or initiating unauthorized chargebacks
• Attempting to overwhelm or disrupt the Platform's servers through any technical means
• Reselling or sublicensing access to the Platform without the Company's express written consent

8. Payment Terms

8.1 All Service Fees are payable in advance before the Auction Event is activated on the Platform. The Company reserves the right to restrict access to paid features until payment is confirmed.

8.2 All prices listed on the Platform are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

8.3 The Company reserves the right to revise its pricing at any time. Revised pricing will not apply to Auction Events already paid for. Clients will be notified of pricing changes on the Platform.

8.4 In the event of a failed or incomplete payment, the Company is not obligated to activate or maintain the Client's Auction Event setup until full payment is received and confirmed.

8.5 Refunds, where applicable, are governed exclusively by the Company's Refund Policy, which forms part of these Terms by reference.

8.6 Any dispute regarding a charge must be raised with the Company directly within 48 hours of the transaction. Initiating a chargeback without first notifying the Company is a violation of these Terms.

9. Intellectual Property

9.1 All content on the Platform — including but not limited to the software, design, interface, logos, text, graphics, and features — is the exclusive intellectual property of SoundVisionary Media and is protected under applicable Indian copyright and intellectual property laws.

9.2 No part of the Platform may be copied, reproduced, modified, distributed, or used for commercial purposes without the express written permission of the Company.

9.3 By submitting User Content to the Platform — including player profiles, team logos, statistics, and photographs — you grant the Company a non-exclusive, royalty-free, worldwide licence to store, display, and use that content solely for the purpose of operating and delivering the Platform's services.

9.4 You represent and warrant that you own or have the necessary rights and permissions to submit all User Content uploaded to the Platform, and that doing so does not infringe any third party's rights.

9.5 The Company reserves the right to use anonymized auction data, aggregated statistics, and non-personally identifiable platform usage information for internal analysis, product improvement, and promotional purposes.

10. Data & Privacy

10.1 By using the Platform, you agree to the collection, storage, and processing of your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

10.2 The Organizer is responsible for obtaining appropriate consent from all players and team owners whose personal data is submitted to the Platform. The Company processes this data solely on the basis of the Organizer's instruction and the legitimate purpose of conducting the Auction Event.

10.3 The Company implements reasonable technical and administrative safeguards to protect User data. However, no online platform can guarantee absolute security. The Company shall not be held liable for unauthorized access resulting from circumstances beyond its reasonable control.

10.4 The Company will not sell, rent, or share personally identifiable User data with any third party for marketing purposes without explicit consent.

11. Limitation of Liability

11.1 To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Platform, even if the Company has been advised of the possibility of such damages.

11.2 The Company's total aggregate liability to any Client, arising from any cause and under any theory of liability, shall not exceed the amount of the Service Fee paid by that Client for the specific Auction Event giving rise to the claim.

11.3 The Company is not liable for any loss arising from:

• Errors or inaccuracies in player data submitted by the Client
• Disruptions caused by third-party streaming tools, internet service providers, or devices
• Auction outcomes, including player prices, team compositions, or bidding results
• Decisions made by Organizers, team owners, or participants during the Auction Event
• Force Majeure events, including internet infrastructure failures, government actions, or cyberattacks

11.4 The Platform is provided on an "as is" and "as available" basis. While the Company strives to maintain consistent uptime and performance, it does not guarantee uninterrupted, error-free access to the Platform at all times.

12. Disclaimers

12.1 The Company is not a sports governing body, cricket association, or regulatory authority. The Platform is a technology tool and does not validate, certify, or endorse the legitimacy of any league, tournament, player, or auction conducted through it.

12.2 Player statistics and performance data displayed on the Platform are submitted entirely by the Organizer or the players themselves. The Company does not verify the accuracy of any such data and accepts no liability for decisions made based on it.

12.3 Any resemblance of Platform features to those of any other cricket or sports auction platform is incidental. The Company makes no claims of official affiliation with the Board of Control for Cricket in India (BCCI), the Indian Premier League (IPL), or any other cricket body or franchise league.

13. Termination & Suspension

13.1 The Company reserves the right to suspend or permanently terminate any Account, with or without notice, in the event of:

• Violation of any provision of these Terms
• Submission of fraudulent refund claims or chargebacks
• Any activity that poses a risk to the Platform, other Users, or the Company's reputation
• Non-payment of applicable Service Fees
• Any conduct that the Company, at its sole discretion, considers harmful or inappropriate

13.2 Upon termination, the Client's access to the Platform and all associated Auction Event data will be revoked. The Company is not obligated to retain or provide access to any data post-termination, except where required by applicable law.

13.3 If you wish to terminate your Account voluntarily, you may contact us at support@onlineplayerauction.in. Termination does not entitle the Client to any refund, except as expressly stated in the Refund Policy.

14. Indemnification

You agree to indemnify, defend, and hold harmless SoundVisionary Media, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including legal fees — arising out of or related to your use of the Platform, your violation of these Terms, your User Content, or your violation of any rights of a third party.

15. Amendments

The Company reserves the right to modify, update, or replace these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. It is your responsibility to review these Terms periodically. Continued use of the Platform after any changes constitutes your acceptance of the revised Terms. For material changes, the Company will make reasonable efforts to notify registered Clients via email.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severable from the remaining Terms, which shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Refund Policy and Privacy Policy, constitute the entire agreement between you and the Company with respect to your use of the Platform and supersede all prior agreements, representations, or understandings of any kind.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Shimla, Himachal Pradesh, India.
